Terms of Service

1. Agreement
By creating an account or using Allison Voice ("the Platform"), you agree to these Terms of Service. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these terms.
2. The Service
Allison Voice provides an AI voice agent platform that enables businesses to create, configure, and deploy AI-powered phone agents. The service includes: discovery consultations with our AI, auto-generated agent configurations, a management dashboard, integration marketplace, escalation management, knowledge base tools, and billing management.
Our Privacy Policy describes how we collect, use, store, and protect your data. By using the Platform, you agree to the terms of the Privacy Policy, which is incorporated into these Terms by reference.
3. Accounts
You must provide a valid email address to create an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these terms.
4. AI Agents and Calls
- Your AI agent will identify itself as an AI assistant at the beginning of every call. This disclosure is required and cannot be disabled.
- Call audio is processed by third-party services (Twilio, Deepgram, Anthropic) to provide transcription, conversation, and speech synthesis.
- Call transcripts and summaries are stored for your review and for service improvement.
- You are responsible for the knowledge base content you provide to your agent and for ensuring your agent's responses are appropriate for your business and industry.
- You must comply with all applicable laws regarding call recording, consent, and AI disclosure in your jurisdiction.
5. Billing and AI Minutes

- Allison Voice offers subscription plans with included AI minutes per month. AI minutes are counted only when the agent is actively engaged (greeting, listening, reasoning, speaking). Ringing, hold time, human-to-human conversation, and voicemail playback do not count.
- Monthly billing: Your subscription is charged on the same date each month. Each billing period includes your plan's included minutes. Usage is tracked in seconds and rounded up to the nearest minute once at billing time.
- Annual billing: You pay for 12 months upfront at a 10% discount. Your included minutes reset each month. Overage is billed monthly regardless of billing cycle (see below).
- Overage: Usage beyond your included monthly minutes is billed at your tier's per-minute overage rate. Overage is calculated and charged monthly for all plans, including annual subscriptions. There is no service interruption when you exceed included minutes — your agent continues answering every call.
- Payments are processed by Square. You authorize us to charge your payment method on file for subscription fees and overage charges.
- You may change your plan at any time. Upgrades take effect immediately. Downgrades take effect at the next billing cycle.
- Payment failure: If a charge fails, your subscription enters a grace period. During the grace period, your service continues uninterrupted while you update your payment method. Monthly plans have a 7-day grace period. Annual plans have a 14-day grace period. We will send email reminders during this time.
- Auto-cancellation: If your payment method is not updated before the grace period ends, your subscription is automatically cancelled. Your AI agent will stop answering calls immediately upon cancellation.

6. Your Content
You retain ownership of all content you provide to the Platform, including knowledge base entries, documents, business information, and integration configurations. By providing content, you grant us a license to use it solely for the purpose of operating your AI agent and providing the service. We do not use your content to train AI models or share it with other customers.
7. Intellectual Property
The Platform, including all software, designs, text, graphics, interfaces, and underlying technology, is owned by Allison Voice and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes as described in these Terms.
No rights, title, or interest in or to the Platform or any intellectual property therein is transferred to you. All rights not expressly granted are reserved. You may not copy, modify, create derivative works of, distribute, sell, sublicense, or commercially exploit any part of the Platform without our prior written consent.
8. Integrations
When you connect third-party services (Google Calendar, HubSpot, Calendly, etc.), you authorize your AI agent to read from and write to those services as configured. You are responsible for the permissions you grant and for compliance with those services' terms. We store encrypted OAuth tokens to maintain these connections. You can disconnect any integration at any time.
Google integrations: Use of Google Calendar data is subject to the Google API Services User Data Policy, including the Limited Use requirements. Our use of Google API data is limited to providing scheduling functionality through your AI agent. See Section 5 of our Privacy Policy for complete details on how Google data is accessed, used, and protected.
9. Acceptable Use
You agree not to use the Platform to:
- Make calls that violate the Telephone Consumer Protection Act (TCPA) or equivalent laws in your jurisdiction
- Conduct robocalling, spam, or unsolicited outbound campaigns
- Impersonate humans or misrepresent the AI nature of the agent (beyond our required disclosure)
- Process, store, or transmit content that is illegal, harmful, or violates third-party rights
- Facilitate or participate in fraud, phishing, identity theft, toll fraud, or financial fraud schemes
- Attempt to access other customers' data or circumvent security measures
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Platform, except to the extent expressly permitted by applicable law
- Conduct penetration testing, vulnerability scanning, or security testing of the Platform without our prior written consent
- Introduce malware, viruses, trojans, worms, or other harmful code into the Platform
- Use automated tools, bots, scrapers, or crawlers to access the Platform beyond sanctioned APIs and intended use
- Use the Platform in a way that degrades service for other users or creates an undue burden on our infrastructure
- Use the Platform for benchmarking or competitive analysis without our prior written consent
We reserve the right to impose rate limits, throttle access, or restrict usage that we reasonably determine creates an undue burden on our infrastructure or negatively impacts service for other users.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Platform depends on third-party infrastructure (Twilio, Deepgram, Anthropic, Supabase) and their availability affects ours. We will communicate known outages and maintenance windows. Custom Service Level Agreements (SLAs) may be available for enterprise plans — contact us to discuss.
11. Limitation of Liability
To the maximum extent permitted by law, Allison Voice shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profit, business, data, or goodwill, arising from or related to your use of the Platform. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
AI agents may occasionally provide inaccurate or inappropriate responses despite best efforts. You are responsible for reviewing your agent's configuration and monitoring its performance. We recommend testing thoroughly before deploying in production.
12. Indemnification
You agree to defend, indemnify, and hold harmless Allison Voice and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms or the Acceptable Use provisions; (c) your content, knowledge base entries, or data provided to the Platform; or (d) your infringement of any third-party rights, including intellectual property rights.
13. Suspension, Termination, and Resubscription
- You may cancel your subscription at any time from your billing dashboard. Your AI agent will stop answering calls immediately upon cancellation.
- Suspension: We may suspend your access to the Platform immediately and without prior notice if we reasonably believe your use violates these Terms, poses a security risk, or negatively impacts the Platform or other users. We will make reasonable efforts to notify you of the reason for suspension and provide an opportunity to remedy the issue where appropriate.
- Termination for cause: We may terminate your account immediately without notice for material violations of these Terms, including but not limited to: fraud, abuse, illegal activity, security breaches, or repeated violations of the Acceptable Use provisions. In the event of termination for cause, all prepaid fees are forfeited and no refund will be issued. Any outstanding charges, including overage, remain due and payable.
- Phone number retention: After voluntary cancellation, your phone numbers are held for 30 days. During this window, you can resubscribe and your numbers will be restored. After 30 days, numbers may be released and cannot be recovered. Phone number retention does not apply to accounts terminated for cause.
- Data retention: Your account data (call records, transcripts, contacts, knowledge base, settings) is retained for 30 days after voluntary cancellation. After 30 days, your data will be permanently deleted. Accounts terminated for cause may have data deleted immediately at our discretion.
- Resubscription: You can reactivate a voluntarily cancelled subscription at any time by providing a valid payment method. Your plan, settings, and data are restored immediately. Any outstanding overage balance from before cancellation is included in the resubscription charge. Accounts terminated for cause may not be eligible for resubscription.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 30 days in advance. Your continued use of the Platform after changes take effect constitutes acceptance. If you disagree with changes, you may terminate your account.
15. Governing Law
These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Eugene, Oregon.
16. Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Allison Voice regarding your use of the Platform. These Terms supersede any prior agreements, communications, or understandings, whether written or oral.
